“Cenovus Energy Expands Oilsands Portfolio with $5.7B Acquisition”

-

Cenovus Energy Inc. is expanding its substantial steam-driven oilsands portfolio through a $5.7 billion cash-and-stock acquisition of Athabasca Oil Corp. The company’s CEO expressed optimism about unlocking production growth potential from the acquired properties, citing recent government policy changes as supportive.

Athabasca currently produces 40,000 barrels per day of oilsands, a figure that Cenovus aims to increase to 115,000 by 2032. CEO Jon McKenzie highlighted this as a significant growth opportunity within the Canadian oilsands sector.

The acquisition announcement follows the federal government’s classification of a proposed million-barrel-a-day pipeline from Alberta to British Columbia as the first national interest project. This designation will facilitate a streamlined regulatory review process for the pipeline.

Questions have arisen regarding whether Cenovus and other oilsands companies will invest sufficiently to fill the pipeline by its expected operational date in 2032. However, McKenzie praised the positive steps taken by the federal and Alberta governments to enhance the sector’s competitiveness, which will enable advancements in growth projects.

Furthermore, McKenzie noted the impact of recent government measures, such as allowing businesses to immediately deduct a broader range of investments against taxes. He also mentioned forthcoming royalty incentives from the Alberta government expected to be announced soon to stimulate more oilsands production.

Under the acquisition agreement, Athabasca shareholders can opt to receive $12 in cash or 0.264 of a Cenovus common share for each share held, subject to cash and share availability limits. Analysts view the deal as strategically compelling despite its cost, citing the scarcity value of top-tier, long-duration thermal inventory and the positive environment for oilsands development.

The acquisition is seen as part of a broader trend of consolidation in the Canadian oilsands sector, with large operators like Cenovus now dominating production. The deal is expected to increase Cenovus’ share of total oilsands output to 21.5%, reflecting the ongoing concentration of oilsands ownership among a few major Canadian companies.

Stock reactions to the acquisition announcement saw Cenovus shares closing down three percent at $44.86, while Athabasca’s shares rose 13.5% to $12.01. The deal is anticipated to close in December, pending customary closing conditions and approvals.

This acquisition signifies a significant milestone in the ongoing consolidation of the Canadian oilsands industry, with a greater concentration of production among key market players.
